Terms of Service

Welcome to agentmem. Please read these Terms of Service (the "Terms") carefully before using the service. These Terms, together with our Privacy Policy, form the complete agreement between you and us.
1. Acceptance and Scope
These Terms constitute a legally binding agreement between you (the "you," "user," or "customer") and [Full legal name of operating entity, to be completed] (the "we," "us," operating the brand "agentmem"), governing your use of the agentmem platform and its related websites, clients, APIs and collection agent (collectively, the "Service").
- By registering an account, clicking to accept, or otherwise accessing or using the Service, you acknowledge that you have read, understood and agree to be bound by these Terms and the Privacy Policy. If you do not agree, do not use the Service.
- If you accept these Terms on behalf of an organization (e.g., a company or team), you represent and warrant that you are duly authorized to do so, and these Terms bind that organization and its authorized users.
2. Service Description
agentmem is a team-oriented cloud storage platform for coding-agent sessions. It automatically collects coding sessions from coding AI agents such as Claude Code, Codex, Cursor, OpenCode and Gemini, and provides:
- cloud archiving, full-text search, and session replay;
- team collaboration and sharing, and cost (token / usage) metering;
- access control, audit logging, and governance and compliance.
The Service uses a dual-region, physically isolated architecture (AWS overseas / Alibaba Cloud in mainland China); data in each region is stored independently and is not synchronized across borders. We may iterate on features over time; the specific features and quotas available depend on your subscribed plan and what the platform actually provides.
3. Account Registration and Security
- You must register an account and provide true, accurate and complete account information (account, name, mobile number, email), and keep it updated when it changes.
- You are responsible for safeguarding your account, passwords and key credentials (including API keys / HMAC signing credentials) and for all activities that occur under your account.
- If you discover any unauthorized use of your account or other security incident, you must notify us promptly. You bear any loss arising from your failure to safeguard your credentials.
- Without our written permission, you may not transfer or rent your account, or share it with others beyond the scope permitted by your subscribed plan.
4. Acceptable Use Policy
When using the Service you must comply with applicable laws and regulations and must not:
- upload, store or transmit unlawful or infringing content, malicious code, or any third party's confidential information without authorization;
- reverse engineer the Service, scrape it without authorization, or circumvent quotas, authentication or security mechanisms;
- abuse or attack the APIs (e.g., high-frequency scraping, denial of service), or otherwise interfere with the normal operation of the Service or its multi-tenant isolation;
- use the Service for any purpose that infringes the intellectual property, privacy or other lawful rights of any third party.
You must ensure that the data involved in collected sessions has obtained any necessary authorization, and you are responsible for the conduct of yourself and your team members.
5. Customer Data Ownership
- The session data and related content you upload or that is collected via the collection agent (collectively, "Customer Data") belong to you (the customer). We process Customer Data solely to provide the Service to you and in accordance with your instructions, and acquire no ownership of it.
- Our collection, use, storage, entrusted processing and sharing of personal information and session data are described in our Privacy Policy, which forms an integral part of these Terms.
- Important note: Session content may still contain personal or sensitive information. Client-side redaction (masking of keys, tokens, connection-string passwords, JWTs, ID numbers, mobile numbers, emails, etc.) is provided on a best-effort basis and is not guaranteed. Please do not enter into a session any content you do not wish to be collected.
6. Subscription, Billing and Refunds
- The Service offers plans such as Free, Team and Enterprise; the features, quotas and prices of each plan are as stated on the order page and in the applicable plan description.
- Paid plans are billed per subscription period; if a plan is not renewed upon expiry, the corresponding features may be downgraded or suspended, and any usage beyond quota is handled under the applicable rules.
- The refund policy applies as agreed on the order page and for the specific plan.
- Payments are processed by third-party payment channels; we do not store your full bank card number.
7. Intellectual Property
- The intellectual property in the platform software, source code, interfaces, documentation, trademarks and brand marks (including "agentmem") and other platform elements belongs to us or the respective rights holders and is protected by law.
- Within the scope of these Terms, we grant you a limited, non-transferable, non-sublicensable, revocable license to use the Service; Customer Data itself is excluded (its ownership is addressed in Section 5).
- Without our written permission, you may not copy, modify, distribute or sell the platform software or brand marks.
8. Service Availability, Maintenance and SLA
- We will use commercially reasonable efforts to keep the Service stable and available, with HTTPS-encrypted transport, HMAC-signed authentication, multi-tenant row-level isolation and access control, but we do not guarantee that the Service will be entirely uninterrupted or error-free.
- We may perform scheduled maintenance (such as upgrades and migrations) and will endeavor to give advance notice by appropriate means; emergency maintenance or fault repair may not be announced in advance.
- Where applicable, specific availability metrics (SLA) are governed by an Enterprise agreement or a separate written arrangement.
9. Changes, Suspension and Termination of the Service
- We may change, suspend or terminate the Service based on business, technical or compliance needs; material changes will be notified by appropriate means.
- You may stop using the Service and deregister your account at any time; termination and refunds for paid plans are handled under Section 6.
- If you materially breach these Terms or applicable laws and regulations, we may suspend or terminate the Service to you.
- After termination, you may access and export your Customer Data within a reasonable period; thereafter we will handle it under the retention and deletion policy in the Privacy Policy (including the recycle bin and legal hold), and delete or anonymize it after the applicable period expires.
10. Disclaimer and Limitation of Liability
- To the maximum extent permitted by law, the Service is provided "as is" and "as available," without any warranty of any kind, whether express or implied (including, without limitation, merchantability, fitness for a particular purpose, and non-infringement).
- Redaction on both the client and server side is provided on a best-effort basis and is not guaranteed. Where the platform later provides AI-generated content (such as automatic summaries, semantic search answers, or knowledge extraction), the results may be inaccurate or incomplete, are for reference only, and do not constitute professional advice or a basis for decisions.
- To the extent permitted by law, we are not liable for any indirect, incidental, special or consequential damages; our aggregate liability for the Service is limited to the fees you actually paid for the Service in the 12 months preceding the event giving rise to the liability.
11. Confidentiality
Each party shall keep confidential any non-public information of the other party obtained in performing these Terms (the "Confidential Information"), use it solely for the purpose of performing these Terms, and not disclose it to any third party without the other party's written consent (except as required by law or a competent authority). This confidentiality obligation survives termination of these Terms.
12. Force Majeure
Where the Service cannot be performed due to force majeure (including, without limitation, natural disasters, war, government acts, power / network / cloud-provider outages, or major cyberattacks), the affected party shall not be liable for breach to the extent affected, but shall promptly notify the other party and use reasonable efforts to mitigate the impact.
13. Governing Law and Dispute Resolution
- The formation, validity, interpretation and performance of these Terms are governed by the laws of the People's Republic of China (for the purposes of these Terms, excluding the laws of Hong Kong, Macau and Taiwan).
- Any dispute arising from or in connection with these Terms shall first be resolved through friendly negotiation; failing that, either party may bring a lawsuit before the competent People's Court at the domicile of [Full legal name of operating entity, to be completed].
- Note for overseas users: If you use the overseas (AWS) region, you acknowledge that the operating entity is established under the laws of the People's Republic of China and that the above governing law and dispute-resolution provisions apply. Region-specific terms, where offered, prevail to the extent of any conflict; please contact us for details.
14. Amendments and Notices
We may revise these Terms from time to time. Upon revision, we will update the "Effective date" on this page and notify you by appropriate means. Your continued use of the Service after a revision takes effect constitutes acceptance of the revision; if you do not agree, you should stop using the Service and may deregister your account. Notices may be delivered via platform announcements, in-platform messages, or the email / mobile number you provided.
